("Soarcery", "we", "us") and govern your access to and use of the soarcery.ai website and, where you have an account, the Soarcery platform (together, the "Service"). Please read them carefully.
Acceptance
By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Service. Where you and Soarcery have signed a separate written agreement for the platform, that agreement governs and controls over any conflict with these Terms.
Eligibility
The Service is intended for business use by people who are at least 18 years old and able to form a binding contract. It is not directed to consumers or to children.
The service
Soarcery provides an AI-native security automation platform: reasoning agents investigate, a deterministic decision layer applies the rules you configure, and response actions run automatically or wait for human approval as you allow. Outputs are intended to assist trained security professionals and require human judgment. You are responsible for how you configure autonomy, thresholds, and approvals, and for actions taken in your environment.
Early access
The Service is offered in early access and is provided on an "as available" basis. Features may change, and availability and performance are not guaranteed during this period, and we may change how long data is retained. We use reasonable efforts to protect your data but do not guarantee uninterrupted availability during early access. We may set or adjust usage limits, and will use reasonable efforts to give notice of material changes.
Accounts
You are responsible for your account, for keeping credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use. You are responsible for your users' compliance with these Terms.
Acceptable use
You agree not to, and not to allow others to:
- use the Service unlawfully or to violate the rights of others;
- access or test systems or data you are not authorized to access, or use the Service to attack third parties without authorization;
- interfere with or disrupt the Service or its infrastructure, or circumvent usage limits, security, or access controls;
- reverse engineer, copy, resell, or create derivative works of the Service except as permitted by law or a written agreement; or
- misrepresent your identity or authority.
We may suspend access to protect the Service, our users, or third parties, or to comply with law.
Customer data
As between the parties, you own the data your organization submits to the platform ("Customer Data"). You grant us the rights needed to operate, secure, and provide the Service to you. We act as a processor of Customer Data on your behalf, handle it under your agreement and applicable data protection law, and do not use Customer Data to train shared or third-party AI models. You are responsible for having the rights and lawful basis to submit Customer Data and for its accuracy. Our standard data processing addendum (DPA), incorporating the EU/UK Standard Contractual Clauses, is available on request at privacy@soarcery.ai, and our current subprocessors are listed publicly.
Fees
Paid use of the platform is governed by the pricing and payment terms in your order or written agreement. Unless stated otherwise, fees are non-refundable and exclusive of taxes. Where no paid agreement is in place, the Service is provided without charge and without commitment.
Intellectual property
The Service, including its software, models, design, and content, is owned by Soarcery and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms, and reserve all rights not expressly granted. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.
Third-party services
The Service integrates with third-party services you choose to connect. Your use of those services is governed by their terms, and we are not responsible for them. You are responsible for any credentials or data you authorize the Service to access on your behalf.
Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that it will detect or prevent every threat. Security automation assists, but does not replace, your own judgment and controls.
Limitation of liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the Service. Our total liability arising out of or related to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim, or one hundred US dollars. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
Indemnification
You will defend and indemnify Soarcery against third-party claims arising from your Customer Data, your use of the Service in violation of these Terms or law, or your violation of a third party's rights, except to the extent caused by Soarcery.
Term and termination
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Service. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
Governing law and disputes
These Terms are governed by the laws of the State in which Soarcery is incorporated, United States, without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in that state, except that either party may seek injunctive relief in any court of competent jurisdiction. If any provision is found unenforceable, the rest remains in effect.
Changes
We may update these Terms as the Service and the law evolve. When we make material changes, we will update the date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
